I.     Name – The name of the organization shall be GE Elfun.

II.    Purpose – The purpose of GE Elfun shall be to promote the interests of the General Electric Employees, retirees and their families, and promote the welfare of the members of GE Elfun, and encourage cooperation, fraternity and good fellowship.

III.   Membership – The qualifications for membership shall be as provided in the by-laws.

IV.   Board of Directors – There shall be a Board of Directors selected from the members of GE Elfun that shall consist of the officers and directors as provided in the by-laws.

V.     Powers and Duties of Board – The management of GE Elfun shall be vested in the Board, including but not limited to establishing such rules, procedures and by-laws that it may determine to be necessary or desirable to improve the organization.  The Board may from time to time appoint such ad hoc committees, agents or employees as it shall deem necessary, each of whom shall hold office for such period, have such authority and perform such duties as the Board may from time to time determine.

VI.    Meetings of Board –The President may call such meetings of the Board as may be deemed necessary.

VII.    Assessments – The Board of GE Elfun may levy fees and assessments in accordance with the by-laws.

VIII.    Amendments – The constitution may be amended or repealed by an affirmative vote of two-thirds of those chapters voting within 30 days of written notice to all chapters.
